Location: New York, NY - Hybrid Model

Salary Range: $235,000 to $390,000 annually

Role Summary

We are seeking a committed and versatile attorney to work closely with emerging enterprises and venture capital entities. Your expertise will be crucial in facilitating corporate transactions from inception to strategic exits, ensuring comprehensive legal support throughout their business lifecycle.

• Corporate Formation and Governance: Guide founders in structuring, equity compensation, and developing governance frameworks.
• Capital Formation: Manage intricate financing rounds from seed to Series E, including strategic debt financing.
• Strategic Transactions: Oversee mergers, acquisitions, and divestitures, conducting due diligence and negotiation in technology and life sciences sectors.
• Investor Advising: Offer detailed counsel to institutional investors and venture funds on investment strategies and portfolio management.
• National Collaboration: Partner with national experts to shape the future of technology and commerce, gaining mentorship from seasoned partners.

Qualifications

• Juris Doctor (J.D.) degree from an ABA-accredited law school.
• Active membership in good standing with the New York Bar.
• At least two years of experience in corporate transactions, with a strong focus on venture capital, emerging companies, and mergers & acquisitions.
• Outstanding academic record and professional references demonstrating legal excellence and integrity.
• Excellent communication skills for client advising and drafting complex agreements.

Preferred Skills

• Advanced quantitative and analytical abilities, including expertise in financial modeling and business valuations.
• Experience with technology transactions, data privacy, or intellectual property related to corporate M&A.
• Proficiency in corporate management software, such as cap table management tools.
• Demonstrated ability to cultivate and maintain diverse client and counsel relationships.
